Terms of Service

1. The Service

Beya is a software-as-a-service product that provides an AI-powered business assistant. The Service can connect to third-party tools you authorize (for example, Shopify, Gmail, Square, QuickBooks, Asana, Notion, and others), read business data from those tools at your request, and—where you authorize it—take actions on your behalf such as sending messages or updating records. The Service may be accessed through Beya's own apps or through compatible third-party clients (for example, ChatGPT) that you separately authorize.

Beya may modify, add, or remove features at any time. We will use commercially reasonable efforts to provide notice of material changes that adversely affect the Service.

2. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You agree to provide accurate registration information, keep it current, and keep your account credentials secure. You are responsible for all activity on your account.

If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" includes that organization.

3. Subscriptions, Billing, and Free Tier

Beya offers a free tier and one or more paid subscription plans. Current plan features, pricing, billing cycles, and refund policy are described at https://usebeya.com/pricing and are incorporated into these Terms by reference. By purchasing a paid plan, you authorize Beya (and its payment processor) to charge the applicable fees and any taxes.

Beya may change pricing or plan features for future billing periods. Changes take effect at the start of your next billing cycle and do not apply retroactively.

4. Your Content and Data

"Your Content" includes any text, messages, files, and data you submit to the Service, as well as data Beya reads from third-party tools you have connected. You retain all rights to Your Content. You grant Beya a limited, non-exclusive, worldwide license to host, process, transmit, and display Your Content solely to provide the Service to you.

Beya does not use Your Content to train AI models. We do not include Your Content in training datasets, fine-tune on Your Content, or sell Your Content to third parties. Beya may use aggregated, de-identified operational metrics (for example, system performance counters) to improve the Service, provided such metrics do not identify you or contain Your Content.

You are responsible for ensuring that you have the right to submit Your Content and to authorize Beya to act on third-party services on your behalf.

5. AI Output and Agent Actions — Important Disclaimers

Beya uses large language models and other AI systems to read, interpret, and act on data. AI output can be incorrect, incomplete, biased, or outdated. You are solely responsible for reviewing AI output and any agent-initiated action before relying on it.

When the Service performs actions on your behalf on a connected third-party service (for example, sending an email, modifying an order, or updating a record), those actions take effect in the connected service immediately and may not be reversible. Beya is not liable for outcomes resulting from agent-initiated actions, including missed, delayed, duplicated, or incorrect actions, or actions taken on the basis of inaccurate AI output.

The Service is not a substitute for professional advice. Output from the Service does not constitute and must not be relied upon as legal, financial, tax, accounting, medical, or other regulated professional advice. You should consult a qualified professional for decisions in those domains.

6. Connected Third-Party Services

The Service interoperates with third-party services that you authorize via OAuth or similar mechanisms (collectively, "Connected Services"). Your use of Connected Services is governed by the terms and privacy policies of those services, not these Terms. Beya is not responsible for the availability, accuracy, content, or behavior of Connected Services, and is not liable for actions taken or data exposed by them.

You may also authorize compatible third-party AI clients (for example, ChatGPT) to access the Service on your behalf via OAuth. Your use of those clients is governed by their own terms. You may revoke any authorization at any time through your Beya account settings.

7. Acceptable Use

You agree not to, and not to enable any third party to:

• Use the Service in violation of any law or regulation, or to infringe the rights of others.
• Use the Service to harass, defraud, defame, or harm anyone, or to send unsolicited bulk messages.
• Attempt to gain unauthorized access to the Service, other accounts, or any related systems, or interfere with availability or security (including by sending malicious code, conducting denial-of-service attacks, or probing vulnerabilities without authorization).
• Scrape, crawl, or use automated means to extract data from the Service in a manner inconsistent with documented APIs or rate limits.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas of the Service, or copy, clone, or scrape any portion of the Service itself.
• Resell, sublicense, or repackage the Service or its outputs as a standalone product without our prior written consent.

Beya may suspend or terminate access for violations of this section without notice.

8. Intellectual Property

The Service, including all software, models, designs, documentation, and brand assets, is owned by Beya, Inc. or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service granted to you under these Terms, no rights are granted to you, expressly or by implication, in the Service or any related intellectual property.

If you provide feedback, suggestions, or ideas about the Service, you grant Beya a non-exclusive, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

9. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BEYA DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. BEYA DOES NOT WARRANT THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, OR FREE OF ERRORS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BEYA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF BEYA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BEYA'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNTS YOU ACTUALLY PAID TO BEYA FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability for incidental or consequential damages, so the limitations above may not apply to you in full.

11. Indemnification

You will defend, indemnify, and hold harmless Beya and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service in violation of these Terms or applicable law; (b) Your Content; (c) actions you authorize the Service to take on your behalf on Connected Services; or (d) your violation of the rights of a third party.

12. Termination

You may stop using the Service and terminate your account at any time through your account settings. Beya may suspend or terminate your access to the Service at any time, with or without notice, including for violations of these Terms or for risk to the security or integrity of the Service. Upon termination, your right to access the Service ends immediately. Sections that by their nature should survive termination (including those addressing intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

Beya is not obligated to issue refunds for any portion of a paid subscription period that has begun. Specific refund terms, if any, are described at https://usebeya.com/pricing.

13. Changes to These Terms

Beya may update these Terms from time to time. If we make a material change, we will use commercially reasonable efforts to notify you in advance (for example, by email or an in-product notice). Updated Terms take effect on the date stated at the top of the page. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Service is the state and federal courts located in Delaware, and each party consents to personal jurisdiction in those courts and waives any objection to venue.

15. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any plan-level terms referenced herein, constitute the entire agreement between you and Beya regarding the Service and supersede any prior agreements on the same subject.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.

No Waiver. Failure to enforce any provision is not a waiver of that or any other provision.

Assignment. You may not assign these Terms without Beya's prior written consent. Beya may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.

No Agency. Nothing in these Terms creates a partnership, agency, joint venture, or employment relationship between you and Beya.
